History begin

Ho Chi Minh City Technical Infrastructure Investment Joint Stock Company (CII) was established at the end of 2001 before capital formation for investment projects in the field of technical infrastructure development increased. The founding shareholders of the company include:

 

+ Ho Chi Minh City Urban Development Investment Fund (HFIU) is currently the Ho Chi Minh City State Financial Investment Company (HFIC). Has an initial capital contribution of 45 billion VND, this figure is equivalent to 15% of charter capital.

+ Thanh Nien Chong Phong Import-Export Production and Trading Company, Ho Chi Minh City (VYC). Contribute capital of 15 billion VND (5% of charter capital)

+ Ho Chi Minh City Investment and Service Joint Stock Company (INVESCO), contributing VND 15 billion (5% of charter capital)

 

The birth of CII operating in the model of a financial investment organization has contributed to the implementation of socialization - investment in the state's infrastructure system. CII's capital comes from the medium and long-term capital mobilization of financial institutions; idle capital from the people; from other economic sectors.

 

On May 18, 2006, CII increased its ability to raise capital when listing 30 million shares on the Ho Chi Minh City Stock Exchange. Ho Chi Minh City (HOSE). It can be seen that this is a leading company in raising capital on the stock market, the main investment area is infrastructure. Therefore, during this period, the project's shares entered the Top 30 stocks with large market capitalization.

 

 

In 2011, the company successfully issued another 40 million USD of bonds; transferred to Goldman Sachs Group. That marked a new step of CII in the process of mobilizing capital from foreign investors.


2012: Ayala Corporation – a strategic investor became a major shareholder of the company, thereby contributing to promoting the development strategy of the international management system.


2013: CII has restructured its finances, up to now, the company has participated in the charter capital of 1 company in the field of infrastructure. Among them, there are 9 subsidiaries

Gih received the total capital of the participating company equivalent to about 3,000 billion VND. This capital was many times higher than the capital from the financial market, invested in the project by forms such as: issuing shares; corporate bonds; convertible bonds; loans from banks. It is expected that in the future, the total investment capital of this investor will reach 20,000 billion VND.


With a period of 14 years of operation, the company has gradually affirmed its position; its brand in the market as an enterprise with financial potential; leading reputation in the field of infrastructure which includes: transportation infrastructure system; infrastructure at KDC; industrial park infrastructure; clean water production and supply system; toll services for transportation infrastructure.

Objectives:  CII operates and develops with the goal of socializing the investment field, developing the urban infrastructure - technical system; invest in the construction of traffic infrastructure; production - supply - waste treatment.

 

CII improves the efficiency of urban technical infrastructure development investments by establishing a financial company with huge capital mobilization capacity. Forming a professional unit in the field of infrastructure investment, development and exploitation.

 

Developing new investment capital mobilization channels; medium and long-term investment capital from financial institutions in; foreign; from idle capital in the people; especially economic sectors to invest in infrastructure and technical development.

For the field of clean water treatment and wastewater supply, at present, with rapid urbanization, only 60% of the urban population has a regular source of clean water. Along with that, 1.5 billion m3 of untreated wastewater/year has been discharged directly into the natural market. In fact, only about 7% of wastewater has been through a standard treatment system. From these figures, there is a need to increase the rate of using clean water for people, thereby helping to improve the ecological environment becomes a necessary factor to implement.

In the field of investment: for the time being, CII will focus on building road and bridge projects; clean water production.

At the same time, CII will be more flexible in using many different types of financial instruments to mobilize as well as recover capital in the following forms: project transfer to the state (BT); receive the right to collect fees (BOT); advance investment capital for the project to receive the transfer of the right to collect fees; exchange, buy and sell shares for BOT companies.

 

Effectively use financial leverage with activities: selling future premium cash flows to banks, insurance companies…, issuing shares through IPO; issue more shares.

 

Company restructuring process

After 14 years of operation, CII has created a relatively good foundation for development. However, the company's current governance model is no longer suitable for the situation, so from the beginning of 2013, the company has restructured the company's operating model with such items as:

CII Holdings plays the main role in management, operation and coordination for CII Group.
